These terms govern the use of Flow ("the Service") by an organisation ("you", "your organisation") and its users, provided by Chimerical Ventures Limited ("Chimerical", "we", "us"), a company registered in England and Wales. By creating an account, subscribing, or using the Service, your organisation agrees to these terms.
Flow is a subscription software platform for managing rental, event, and crew operations — projects, customers, equipment, crew, quoting, invoicing, and related business functions.
Fees are based on your organisation's selected pricing tier, seat count, and billing period. Quotations for new or changed licence requirements are generated on request and, once approved, are invoiced to your organisation, optionally referencing a purchase order number your organisation supplies. Invoices are raised through our accounting system. Fees are payable within the terms stated on the invoice. We may suspend access for licences that remain unpaid after a reasonable notice period.
Your organisation retains ownership of all business data it enters into the Service (projects, customers, crew, equipment, financial records, and similar). We process this data on your organisation's behalf to provide the Service — see our Privacy Notice for how personal data within it is handled. On termination, your organisation may request an export of its data within a reasonable period before it is deleted.
You agree not to use the Service to store or process unlawful content, to attempt to circumvent seat licensing or security controls, to interfere with the Service's operation, or to access data belonging to another organisation. Each named user is responsible for keeping their own login credentials confidential.
A subscription continues for the agreed billing period and renews automatically unless cancelled by your organisation's administrators or by us with reasonable notice. Either party may terminate for material breach that is not remedied within a reasonable period after notice. On termination, access ends and data is handled as described in section 5.
We aim to keep the Service available and to respond to support requests promptly, but we do not currently guarantee a specific uptime service level. Planned maintenance will be communicated where practicable.
Nothing in these terms limits liability for death, personal injury caused by negligence, fraud, or any other liability that cannot lawfully be excluded. Subject to that, our total liability arising from or in connection with the Service is limited to the fees paid by your organisation for the Service in the 12 months preceding the claim, and we are not liable for indirect or consequential loss.
We may update these terms from time to time. Where a change is material, we will give your organisation's administrators reasonable notice before it takes effect.
These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction over any dispute.
